Data Processing Agreement

This Data Processing Agreement ("DPA") is entered into by and between Argus ("Argus," "we," "us," or "our") and the user or entity ("Customer," "you," or "your") that has agreed to the Terms of Service ("Terms") and Privacy Policy ("Privacy Policy") for the use of Argus's Services. This DPA forms part of the Terms and governs the processing of personal data by Argus on behalf of the Customer.

1. DEFINITIONS
For the purposes of this DPA, the following definitions apply:
- Agreement: The Terms, Privacy Policy, and this DPA collectively.
- Applicable Data Protection Laws: All relevant laws regarding personal data processing, including GDPR and CCPA.
- Controller: The entity determining the purposes of personal data processing.
- Data Subject: The individual to whom the personal data relates.
- Personal Data: Any information relating to an identifiable natural person.
- Processing: Any operation performed on personal data, automated or otherwise.
- Processor: The entity processing personal data on behalf of the Controller.
- Subprocessor: Any third party engaged by Argus to process personal data.
2. SCOPE AND PURPOSE
This DPA applies to the processing of personal data by Argus on behalf of the Customer. Argus acts as a Processor, while the Customer is the Controller.
3. DATA PROCESSING OBLIGATIONS
A. Customer Responsibilities
- The Customer is responsible for ensuring it has a lawful basis for processing personal data.
- The Customer shall provide accurate, complete, and up-to-date personal data.
B. Argus Responsibilities
- Argus shall process personal data only on documented Customer instructions.
- Argus shall ensure confidentiality obligations for authorized personnel.
- Argus shall implement security measures as per Section 6.
4. SUBPROCESSING
The Customer grants Argus authorization to engage Subprocessors, provided they adhere to data protection obligations.
5. INTERNATIONAL DATA TRANSFERS
Argus may transfer personal data outside the EEA or other jurisdictions, ensuring safeguards such as Standard Contractual Clauses.
6. SECURITY MEASURES
Argus shall implement technical and organizational measures, including:
- Data encryption in transit and at rest.
- Regular security assessments.
- Access controls and authentication.
7. DATA SUBJECT RIGHTS
Argus shall assist the Customer in handling Data Subject requests, including access, rectification, and deletion.
8. DATA RETENTION AND DELETION
Argus shall retain personal data only as necessary and delete it upon Customer request, unless legally required otherwise.
9. AUDIT RIGHTS
The Customer may request compliance audits, subject to confidentiality obligations.
10. LIABILITY AND INDEMNIFICATION
Liability under this DPA aligns with the Terms. The Customer shall indemnify Argus against claims arising from non-compliance.
11. GOVERNING LAW AND DISPUTE RESOLUTION
This DPA shall be governed by the laws specified in the Terms.
12. MISCELLANEOUS
This DPA constitutes the entire agreement between the parties regarding data processing.
